Terms and Conditions of Use – Frelaa.com

Welcome to Frelaa.com. These Terms and Conditions of Use ("Terms") constitute a legally binding contract between FRELAA MARKETPLACE FREELANCERS LTDA, registered under Tax ID (CNPJ) No. 66.713.531/0001-30, hereinafter referred to simply as "Frelaa.com", and you, the "User".




1. Acceptance of Terms and Capacity

By clicking "I Accept", registering, or using Frelaa's features, you declare that you have read, understood, and fully accepted these Terms, as well as our Privacy Policy [link to policy]. If you are using the Platform on behalf of a legal entity, you declare that you have the legal representation powers to accept these Terms on behalf of said entity, taking responsibility for the legitimacy of this representation.



2. Object and Nature of Services

2.1. Technological Intermediation: Frelaa.com is a technology platform that acts exclusively as a business intermediary. The service provided by the Platform is limited to facilitating the meeting, communication, and financial transaction between Users.

2.2. No Provision of Technical Services: Frelaa.com does not provide, does not guarantee, and is not responsible for the technical services (Design, IT, Legal, Engineering, etc.) hired through the site. Such services are the sole responsibility of the Freelancer selected by the Client.

2.3. Absence of Employment Relationship: The use of the Platform does not create any employment relationship, partnership, joint venture, or subordination relationship between Frelaa.com and the Users (Clients, Freelancers, Consultants, or Partners). All Users are independent and autonomous professionals or companies.




3. Access Conditions and Civil Capacity

3.1. Eligibility: The use of the Platform is restricted to:

Individuals: Fully capable, aged 18 (eighteen) or older;

Legal Entities: Regularly constituted and represented by those who have legal powers to bind them to this contract.

3.2. Veracity of Information: By registering, the User declares that all information provided is true, under penalty of immediate account suspension and civil and criminal liability.




4. User Profiles and Platform Functionalities

Frelaa.com provides specific tools according to the definition and category of account selected by the User:

4.1. Client Profile

4.1.2. Definition: An individual or legal entity seeking professional services (“Freelancer”), who may publish "Demand Opportunities" directly and autonomously or through intermediation.

4.1.3. Publication Autonomy: The Client has total freedom to register, publish, and manage their own “demand opportunities” independently, using the platform's tools.

4.1.4. Optional Management by Consultant: If preferred, the Client may choose to be assisted by a Partner Consultant. In this mode, the Partner Consultant acts as a facilitator to prospect professionals (“Freelancer”) and manage the flow of the “demand opportunity”, without removing from the Client the final word on the choice of Freelancer and the payment obligation.

4.1.5. AI Curation Tool: Regardless of the presence of a Partner Consultant, the Client has access to the Artificial Intelligence (AI) system for technical screening, defining price, expertise, and deadline criteria for ranking candidates and facilitating decision-making.

4.1.6 Hiring and Squad Organization: Ability to select professionals and organize them into private workflows for the execution of “demand opportunities” directly (“Squad”).

4.2 Freelancer Profile

4.2.1 Definition: An independent professional, individual or legal entity, who provides their talents and technical services in the categories provided by the Platform.

4.2.2 Access and Progression: The Freelancer joins in the free mode and can evolve to paid subscription plans to expand their business opportunities.

4.2.3 AI Screening and Qualification: By submitting proposals, the Freelancer agrees to participate in automated qualification flows, conducted by Artificial Intelligence, designed to assess technical compatibility with the “demand”.

4.2.4 Financial Management and Withdrawals: Access to a receivables control panel for monitoring balances and requesting withdrawals, the frequency of which is determined by the current subscription plan.




5. Dynamics of Subscriptions, Credits, and Freelancer Fees

To ensure the quality of proposals and the sustainability of the technology, Frelaa.com adopts the following exclusive commercial model for the Freelancer:

5.1 Subscription Plans: The Freelancer can choose between Free, Start, Pro, or Premium modes, whose increasing benefits are detailed on our [Plans Page Link].

5.2 Sistema de Freecoins: Credits are renewed every 7 days. The Freelancer declares knowledge that these resources are not cumulative and expire at the end of each weekly cycle.

5.3 Intermediation Fee: Frelaa.com will charge a service fee on the gross value of each completed demand, automatically deducted at the time of payment release. The percentage of the fee varies according to the active plan of the Freelancer at the time of hiring.




6. Platform Partners

Partners are users who collaborate with the growth of the Frelaa.com ecosystem, divided into two distinct categories and with non-cumulative remuneration rules:

6.1 Partner Consultant Profile (Management and Intermediation)

6.1.2 Definition: An independent intermediary, individual or legal entity, who acts as an independent business agent, prospecting clients and managing “demand” opportunities for the Platform.

6.1.3 Agency and Prospecting: The Consultant has the functionality to prospect and register new Clients on Frelaa.com, being able to act in the opening of “demands” and in assisting professional curation, always in the name and interest of the prospected Client.

6.1.4 Portfolio Management Dashboard: Access to an exclusive interface for monitoring their portfolio of Clients, allowing for tracking demand status, proposals received, and ongoing financial transactions.

6.1.5 Remuneration and Monetization per Transaction: The Consultant is entitled to receive commissions calculated on the gross value of demands that are effectively completed and paid by their referred Clients within the Platform.

6.1.6 Attribution Rule: The commission is due only for Clients linked to the link or identification code of the Consultant at the time of registration.

6.1.7 Payment Condition: Commission credit will only occur after the release of payment from the Client to the Freelancer (completion of the Escrow flow).

6.1.8 Professional Independence: The Partner Consultant acknowledges that they act without exclusivity and without subordination, being solely responsible for the costs of their own prospecting activity, and not possessing authority to sign contracts or assume financial obligations on behalf of Frelaa.com (FRELAA MARKETPLACE FREELANCERS LTDA).

6.2 Consultant Conduct and Ethics Guidelines

6.2.1 Transparency and Veracity: The Consultant commits to providing true information about the functionalities of Frelaa.com, it being strictly prohibited to promise guaranteed results, impossible deadlines, or discounts that are not officially listed on the Platform.

6.2.2 Prohibition of "Offline" Trading: The Consultant is prohibited from encouraging or facilitating Clients and Freelancers to make payments outside the Platform to evade service fees. This practice is considered contractual fraud.

6.2.3 Use of Brand: The Consultant may identify as an "Authorized Partner", but cannot act as if they were a director, owner, or employee of Wold Work Tecnologia, to avoid creating any identity confusion in the market.

6.2.4 Confidentiality: The Consultant will have access to Client demand and budget data. They commit to maintaining absolute secrecy regarding this information and may not share it with competitors or use it for purposes other than intermediation on Frelaa.

6.2.5 Penalties: Non-compliance with any of these guidelines will result in the immediate termination of the partnership, blocking of access to the management panel, and the loss of any pending commissions, without prejudice to eventual legal actions for damages.

6.3 Content Partner Profile (Influencer/Producer)

6.3.1 Definition: A user, individual or legal entity, who uses their audience and digital channels (social networks, YouTube, blogs, etc.) to promote Frelaa.com, acting as a brand promoter.

6.3.2 Affiliate Mechanics: The Content Partner has access to an exclusive tracking link. Their main functionality is generating new registrations on the platform through this link.

6.3.3 Performance Dashboard: Access to an interface to track click metrics, volume of registrations made, and paid plan conversions originating from their promotion.

6.3.4 Monetization per Subscription Conversion: The Content Partner is entitled to commissions calculated exclusively on paid plan subscriptions (Start, Pro, or Premium) made by users who registered via their referral link.

6.3.5 Commission Scope: Unlike the Consultant, the Content Partner does not receive a commission on the gross value of demands/projects, but rather on the recurring value or adherence to the platform plans.

6.3.6 Payment Rules: Commissions are accounted for after subscription payment clearance and follow the platform's monthly closing schedule.

6.3.7 Brand and Conduct Guidelines: The Partner commits to ethical promotions, the practice of SPAM, deceptive advertising, or the use of the Frelaa.com brand on illicit content sites being prohibited. Non-compliance results in the immediate termination of the partnership and loss of pending commissions.




7. Payment System, Guarantee, and Escrow (Secure Payment)

7.1. Custody Mechanism (Escrow): To ensure transaction security, Frelaa.com uses a protected payment system. When the Client accepts a proposal, the total value of the project (or stage) is deposited on the Platform, held in custody until the service is delivered and validated.

7.2. Delivery Confirmation and Release:

7.2.1 Service Submission: The Freelancer must submit the final delivery through the Platform's tools.

7.2.2 Validation Period: After submission, the Client will have a period of up to 5 (five) business days to review the material and click "Approve".

7.2.3 Automatic Release: If the Client does not manifest within the validation period, the Platform reserves the right to release payment to the Freelancer automatically, presuming the service was accepted.

7.3 Balance Release and Withdrawal Deadlines:

7.3.1 Availability: Once payment is approved by the Client, the balance (net of service fees) will be visible on the Freelancer's dashboard.

7.3.2 Withdrawal Rules: The timeframe for the balance to become available for withdrawal to the Freelancer's bank account depends on their subscription plan, which can be: Daily, weekly, or monthly.

7.3.3 Partner Commissions: Consultant and Influencer commissions follow the same release logic after the financial conclusion of the sale or “demand” cycle.

7.4 Refunds and Cancellations (Mediation):

7.4.1 Cancellation by Agreement: If both parties agree to the cancellation before delivery, the value in custody will be returned to the Client, net of administrative financial processing fees.

7.4.2 Disputes: In case of disagreement regarding service quality, either party may open a "Dispute". Frelaa.com will act as a mediator, analyzing conversation history and deliveries to decide on total release, partial release, or refund.

7.5 Financial Records and Tax Obligations:

7.5.1 Transaction Proofs (Invoices): Frelaa.com will electronically provide payment proofs and invoices detailing financial movements made on the Platform. These documents serve for the purpose of recording plan subscription payments, commissions received by Partners, and values transacted between Clients and Freelancers.

7.5.2 Freelancer Tax Responsibility: As this is a direct hire between users, the issuance of a Service Tax Invoice regarding the value of the work performed is the exclusive responsibility of the Freelancer in favor of the Client.

7.5.3 Nature of Frelaa: The Platform acts as a billing and custody agent (Escrow), not replacing the parties in their individual tax obligations. The User acknowledges that the Invoice issued by the Platform is a record of the technological and financial transaction, and not a tax document for technical service provision.




8. Dinâmica de Créditos (Frecoins) e Upgrade de Planos:

8.1 Acquisition and Use: O Freelancer reconhece que a submissão de Freecoins, mensagens e o acesso a certas funcionalidades dependem da utilização de Freecoins, créditos virtuais vinculados ao seu plano de assinatura.

8.2 Renewal and Validity: Os Freecoins são creditados semanalmente e, conforme estabelecido no item 4.2.1, não são cumulativos, expirando ao final de cada ciclo de 7 (sete) dias corridos caso não sejam utilizados.

8.3 Value and Benefit Table: A quantidade de Freecoins, prazos de carência e taxas de serviço variam conforme o plano escolhido pelo Freelancer (Free, Start, Pro ou Premium).

8.4 Reference Link: To view the updated comparative table, credit limits, and upgrade your account for better fee conditions and visibility, the User must access: [Plans Page Link].

8.5 Credit Management: A Frelaa.com reserva-se o direito de alterar as quantidades de Freecoins de cada plano ou criar pacotes de créditos avulsos, mediante aviso prévio na plataforma ou atualização da página de planos.




9. Intellectual Property and Copyrights

9.1. Ownership of “Demand Opportunities”: Unless there is a written agreement to the contrary between the Client and Freelancer via platform email, ownership of all intellectual property rights over the delivered work will be transferred exclusively to the Client after the full release of payment on the Platform.

9.2. Transfer Condition: The Freelancer acknowledges that the transfer of copyrights, source codes, designs, and other creations is conditioned upon receipt of the agreed value. Until payment is released via the Escrow system, the intellectual property remains with the Freelancer.

9.3 Freelancer Portfolio: The Freelancer reserves the right to mention and display samples of the work performed in their professional portfolio (on and off Frelaa.com) for self-promotion purposes, except in cases where the parties sign a specific Confidentiality Agreement (NDA) prohibiting such disclosure.

9.4 Platform Ownership: Todos os elementos da Frelaa.com, incluindo, mas não se limitando a: marcas, logotipos, nomes de domínio, textos, gráficos, códigos de programação, ícones (incluindo os Freecoins) e o banco de dados, são de propriedade exclusiva da FRELAA MARKETPLACE FREELANCERS LTDA. O uso da plataforma não concede ao Usuário qualquer direito sobre a propriedade intelectual da Frelaa.com.

9.5 User-Generated Content: By publishing texts, photos, and profile or “demand” descriptions, the User grants Frelaa.com a free and worldwide license to use, display, and reproduce such content with the aim of promoting the Platform and facilitating intermediation services.




10. Plan Cancellation and Refund Policy

10.1. Right of Regret: According to Article 49 of the Consumer Defense Code (CDC), the User has the right to withdraw from the plan purchase within 7 (seven) calendar days from the date of subscription.

10.2 Exception by Credit Consumption (Service Used) O Usuário declara ciência de que o plano de assinatura da Frelaa.com consiste na disponibilização imediata de ferramentas e créditos virtuais (Freecoins).

10.2.1 Uma vez que o Usuário utilize os Freecoins para o envio de propostas ou mensagens, considera-se que o serviço foi totalmente ou parcialmente fruído (utilizado).

10.2.2 According to the understanding of Article 35, III of the CDC and the principle of objective good faith, the use of plan benefits (credit consumption) prevents full refund of the amount paid, as the provision of intermediation services was initiated and consumed by the User of their free will.

10.3 No Guarantee of Response: A Frelaa.com é uma plataforma de meio e não de resultado. O Usuário reconhece que a utilização de Freecoins para envio de orçamentos não garante a aceitação, resposta ou contratação por parte dos Clientes. A ausência de resposta por parte de terceiros não constitui falha na prestação de serviço da Plataforma e não gera direito a reembolso.

10.4 Abuse of Right and Account Cancellation: Refund requests made after proven use of virtual credits, followed by abusive behavior or threats to support, will be considered Abuse of Right (Art. 187 of the Civil Code). In these cases, Frelaa.com reserves the right to unilaterally terminate the contract and permanently ban the User's account for violation of ethical partnership terms.




11. Screening Process and Artificial Intelligence

11.1. Transparency and Legal Basis: Frelaa.com uses Artificial Intelligence (AI) systems for profile screening optimization, in compliance with Article 20 of the General Data Protection Law (Law 13.709/2018). The User has the right to know that their interactions and qualifications are being processed automatically for professional profile analysis purposes.

11.2. Interaction Dynamics and Logic Explanation:

11.2.1. Identification: Todas as mensagens enviadas pelo sistema de triagem serão claramente sinalizadas como "Mensagem opcional de triagem" ou "Triagem por IA".

11.2.2. Question Flow and Automated Decision: AI has the autonomy to decide, based on provided answers, whether to continue or end the qualification flow. The User acknowledges that the system seeks technical compatibility between declared skills and the requirements of the “demand”.

11.2.3. Processing Time: Intervals between questions aim to ensure data processing integrity and ranking equity, preventing fraud by external automation systems (bots).

11.3 Right to Human Review: In compliance with §1 of Art. 20 of the LGPD, Frelaa.com ensures the User the right to request review of decisions made solely based on automated data processing, should they believe there was a technical error or injustice in the score assigned by the algorithm.

Note: The review request must be made via technical support within 48 hours after screening completion.


11.4 Ethics and Non-Discrimination: Frelaa.com declares that its AI algorithms are designed under ethical principles of non-discrimination, according to the Artificial Intelligence Legal Framework guidelines (Bill 2338/23), basing ranking strictly on technical criteria, professional experience, and budget compatibility.

11.5. Responsibility and Veracity: The User is solely responsible for the veracity of the information provided to AI. Providing false or misleading data constitutes a violation of contractual good faith (Art. 422 of the Civil Code), which may result in disqualification from the “demand” or account suspension.




12. Confidentiality and Non-Disclosure (NDA)

12.1. Information Secrecy: All information exchanged in the Platform chat between Clients and Freelancers is considered confidential. The Freelancer commits to not revealing “demand” details, business secrets, or sensitive Client data to third parties under penalty of banning and legal liability.

12.2. Data Protection: Both parties commit to respecting the LGPD in the processing of personal data they may access during the execution of the “demand”.




13. Platform Limitation of Liability

13.1. Exemption from Damages: Frelaa.com is not responsible for lost profits, emotional distress, or indirect damages suffered by Users due to: (i) technical internet failures; (ii) improper conduct of other users; (iii) delays or poor execution of services contracted between the parties.

13.2. Indemnity: The User agrees to indemnify and hold Frelaa.com and its partners harmless against any claims, losses, or lawsuits filed by third parties due to their actions on the platform (e.g., plagiarism by a freelancer or non-payment by a client).




14. Changes to the Terms of Use

14.1 Unilateral Update: Frelaa.com reserves the right to modify these Terms at any time, aiming for service improvement or legal compliance.

14.2. Communication: Significant changes will be communicated to Users via email or through a highlighted notice on the Platform.

14.3. Tacit Acceptance: Use of the Platform after the publication of new Terms will be considered full acceptance of the new conditions. If the User does not agree, they must close their account immediately.




15. Communication and Support

15.1. Official Channel: For any questions, support, or complaints, the User must exclusively use the email: Contato@frelaa.com

15.2. Validity of Notifications: Communications sent by the Platform to the email registered by the User will be considered valid and received for all legal purposes.




16. Forum and Conflict Resolution

16.1. Applicable Law: This term is governed by the laws of the Federative Republic of Brazil. 

16.2. Choice of Forum: The parties elect the Courts of the City of São Paulo, State of São Paulo, as the sole competent forum to settle any questions or controversies arising from this Term, expressly waiving any other, no matter how privileged it may be.
